LEGAL AND COMPLIANCE MANAGER

The Legal and Compliance Manager is responsible for ensuring that the company operates in accordance with legal and regulatory requirements, and that internal policies and procedures are effectively implemented and maintained. This role combines legal advisory duties with compliance oversight to support ethical, legal, and regulatory standards across the business.

Key Responsibilities:

  • Draft, review, and negotiate a wide range of contracts, MOUs, NDAs, and service agreements.
  • Support the business on litigation, disputes, and coordinate with external legal counsel.
  • Monitor and advise on changes in laws and regulations that affect the business.
  • Stay up to date on changes to laws and regulations that may impact the organization’s operations.
  • Maintain company legal records and manage intellectual property registrations where applicable.
  • Develop, implement, and monitor internal compliance programs and policies.
  • Prepare, review and / or analyze materials in support of Corporate Risk Governance processes.
  • Ensure compliance with relevant laws and regulations (e.g., SEC, Central Bank, CSE, Customs etc.).
  • Conduct regular assessments of the organization's compliance with applicable laws and regulations.
  • Manage the company's Code of Conduct, Anti-Bribery and Corruption Policy, and Whistleblower Program.
  • Liaise with regulatory bodies (e.g., SEC, Inland Revenue, etc.).
  • Ensure timely submissions of required regulatory filings and disclosures.
  • Coordinate responses to regulatory inquiries or audits.

Candidate Profile:

  • Attorney-at-Law with a Bachelor’s Degree in Law from a recognized institution.
  • A minimum of 8 years of professional experience, with at least 5 years in the corporate sector handling legal and compliance matters.
  • Highly self-motivated and proactive, with the ability to work independently and meet tight deadlines.
  • Strong interpersonal and negotiation skills, with a professional demeanour.
  • Well-organized, detail-oriented, and capable of handling multiple responsibilities.
  • Strong analytical thinking and problem-solving abilities.
  • Demonstrated integrity and commitment to upholding ethical standards and compliance requirements.
  • Excellent command of both English and Sinhala (spoken and written).
  • Superior business writing skills, with the ability to draft and review contracts, reports, and legal documentation with precision.
  • Proficient in MS Office applications and general computer literacy.
