Manager – Legal & Company Secretarial

Talentra People Management Solutions is conducting a headhunt for a leading Insurance company in Sri Lanka, an experienced individual with a Bachelor’s degree in Law or Attorney-at-Law with strong understanding of corporate governance and regulatory compliance, having excellent communication and stakeholder management skills and with exceptional level of attention to detail and commitment to producing accurate and high-quality work, especially in documentation and reporting.

Functional Responsibilities

  • Handling the Company Secretarial Matters relating to the relevant Insurance company and affiliated entities as required.
  • Handling all matters relating to Interim Board Meetings/Routine Board Meetings and sub-committees, including scheduling of meetings, drafting and reviewing of Board Papers and resolutions.
  • Handling the matters relating to Annual / Extraordinary General Meetings.
  • Ensuring compliance with IRCSL and ROC requirements in relation to the Company Secretarial and corporate governance functions including but not limited to requirements of Companies Act, RII Act and connected rules, guidelines and regulations.
  • Maintenance of all the statutory records and other internal records as required by group standards including but not limited to facilitating and maintenance of disclosures of Directors and registers of beneficial owners, conflicts, interests, charges etc.
  • Establishing and ensuring adherence to continuing monitoring processes and procedures to evaluate and demonstrate the status of compliance with related laws and other regulations.
  • Making reports and updates to the Company Secretary and senior management of the Company on Company’s status of compliance and actions to bridge any gaps identified. Ensuring such actions on bridging such identified gaps are closed within agreed timelines.
  • To complete and report to the Internal Audit, the compliance in relation to Company Policies and requirements as relevant to Company Secretarial work.
  • Ensuring timely delivery of local and group submissions and activities based on relevant policies, standards adopted by the Company.
  • Evaluate, report and implement any new requirements on a timely manner.
  • Establish, monitor and evaluate on a continuing basis, the processes including monthly and quarterly sign offs on status of compliance with all the CG requirements and preparation of reports for submission to senior management, shareholders, regulators and for the Annual Report of the Company.
  • Follow up on all the minority shareholder matters with the Registrars on shareholding/ debenture holding and dividend payments.
  • Support on other legal matters, such as contracts, dispute resolution and advice for other functions of the business.

People Management Responsibilities

  • Timely monitoring and constant touch with the direct report in regard to the routine compliance and secretarial matters to be carried out.
  • Providing adequate time for the direct report to discuss the matters to be followed and provide her with necessary technical support.
  • Continued support for the development of the team members to achieve higher efficiency levels of the function and professional development of the individuals.

Business Responsibilities

  • Timely follow ups to be carried out in relation to the routine work to be overlooked. Ensure a smooth and timely operation with the in house and external parties concerned. Establish proper compliance through checklists circulated to the parties concerned.
  • Ensure timely responses are made in relation to various statutory requirements and compliance.

Candidates are required to have;

  • Bachelor's degree in Law or Attorney-at-Law.
  • Minimum of 10 years in a similar role with proven experience in company secretarial work.
  • Strong understanding of corporate governance and regulatory compliance.
  • Excellent communication and stakeholder management skills.
  • Exceptional level of attention to detail and a commitment to producing accurate and high-quality work, especially in documentation and reporting.
