JOB TITLE: LEGAL OFFICER / ASST. MANAGER LEGAL

Position Overview:

As a Legal Officer/Asst. Manager Legal at LTL Holdings Group, you will play a crucial role in providing legal guidance and support to ensure the company's operations and projects align with applicable laws and regulations. Your responsibilities will include providing legal expertise and facilitation in relation to Listing of the company in CSE, governance and compliance oversight, risk assessment, company secretarial duties, provide legal expertise on contract management, and provide necessary support and liaison in legal matters in general including litigation and dispute resolution. The ideal candidate will have a strong background in engineering-related legal matters and a proactive approach to identifying and addressing potential legal risks.

Key Responsibilities:

  • Corporate Governance:
    • Provide legal advice on corporate governance matters, including board meetings, shareholder relations, and regulatory compliance specially in a listed company setting.
    • Assist in the preparation and filing of regulatory documents as required.
  • Compliance Oversight:
    • Stay updated on laws, regulations specially relevant to the listing of companies in the Colombo Stock Exchange, and regulations affecting the engineering sector in general.
    • Develop and implement policies and procedures to ensure company-wide compliance.
    • Conduct periodic compliance audits and assessments.
  • Risk Assessment:
    • Identify and assess legal risks associated with engineering projects, contracts, and operational activities.
    • Work closely with project teams to develop risk mitigation strategies and provide legal guidance on risk management.
  • Contract Management:
    • Draft, review, and negotiate a variety of contracts, including engineering service agreements, procurement contracts, and subcontractor agreements.
    • Ensure that contractual terms and conditions are favorable and comply with legal requirements and company policies.
  • Dispute Resolution:
    • Be the focal point in supporting senior management to manage and resolve legal disputes through negotiation, mediation, and, when necessary, litigation.
    • Collaborate with external legal counsel as needed and represent the company's interests in legal proceedings.
  • Intellectual Property Management:
    • Protect and manage the company's intellectual property, including patents, trademarks, and copyrights.
    • Conduct due diligence on intellectual property matters related to contracts, and partnerships.
  • Company Secretarial Duties:
    • Be able to assist and if required, undertake company secretarial duties.
    • Maintaining the secretarial registry and legal registry etc.

Candidate Profile:

Qualifications & Experience:

  • Bachelor of Laws (LLB) or equivalent legal Degree from a recognized institution.
  • Ideal candidate will have 4 to 15 years of experience as a legal professional, preferably in the engineering or construction industry.
  • Hands-on experience in handling and providing expertise on legal matters applicable to companies listed in CSE.
  • Knowledge and prior exposure associated with Board Committees in a public listed company is mandatory.
  • Knowledge and exposure to company secretarial duties.
  • Knowledge of contract law, intellectual property law.
  • Excellent negotiation, communication, and analytical skills.
  • Ability to work collaboratively with cross-functional teams.
  • Possessing Attorney at Law Qualification in Sri Lanka will be advantageous.
