ASSISTANT MANAGER - LEGAL & COMPANY SECRETARIAL

We are looking for a proactive and experienced Assistant Manager – Legal & Company Secretarial to oversee our legal and company secretarial functions. The selected candidate will also serve as the Company Lawyer, providing legal guidance on internal and external matters. They will ensure the company complies with all legal and regulatory requirements, while advising on secretarial and legal issues.

What we are looking for:

  • Bachelor of Laws (LL.B.)/ Master of Laws (LL.M.) and Attorney-at-Law
  • Over 6 years of post-qualification experience in company secretarial and legal services
  • Possession of a Commissioner for Oaths license
  • Strong knowledge of the Companies Act and ROC procedures
  • Excellent legal drafting and document review abilities
  • Highly organized with strong attention to detail and ability to manage multiple requests
  • Fluent in English and Sinhala (both written and verbal)
  • Proven leadership and team coordination experience
  • Client-service mindset with problem-solving abilities
  • Should be below 40 years of age

If you are selected for the vacancy your job responsibilities would include:

  • Provide legal advice on all company-related matters, including internal consultations, conflict resolution, and legal interpretation.
  • Represent the company in legal proceedings, regulatory consultations and official meetings.
  • Draft and review key legal documents, ensuring all contracts comply with applicable laws and protect the company’s interests.
  • Review and approve all documentation related to company secretarial work.
  • Act as the company secretary for other companies.
  • Draft, examine and provide feedback on Articles of Association and Objectives for Company Limited by Guarantee and Private Limited companies.
  • Vet and finalize secretarial related documentation prepared by the team.
  • Serve as an authorized signatory for all the company related secretarial documentation.
  • Act as a primary advisor to clients on legal, secretarial, Company Limited by Guarantee and Trademark matters.
  • As the Company Lawyer, will require to review and sign legal documents to support various client procedures in accordance with legal requirements.
  • Assign responsibilities to team members based on incoming client requests, while managing overall workload and providing guidance to ensure efficient task completion.
  • Ensure high standards of professionalism and responsiveness from the legal & secretarial team to give the best solution and customer service to clients.
